Retreat Participation Agreement
Introduction
Please carefully read the legally binding contract below, make sure you understand how it applies to you, and then digitally sign and submit on the registration page to acknowledge your acceptance. You cannot attend the Retreat without signing this Agreement, and if your intake form is not received with sufficient time, we cannot guarantee that suitable food, resources, and appropriate support will be available for you.
Our intention in facilitating this Retreat is to provide a safe and inclusive space for you to experience transformation, both personally and professionally, while enjoying self-care and time away from your normal routine.
This Retreat is run by Valerie Kates Inc.
Your details as a Retreat Participant are provided in the registration form which is to be filled out and submitted after reading this agreement. We will rely on the details you provide in that form to craft your experience.

Article 1 - RETREAT TERMS:
The details of the Retreat are as follows:

Return Date: 09/08/2025
Location: Las Vegas, Nevada
Total Fees: $2,222 (two thousand two hundred twenty-two US dollars) ("Total Fees")
Additional details regarding the Retreat, such as included meals and amenities, transportation, etc., if applicable, will also be provided to you through emails and additional communications prior to the Retreat. Any such page is hereby incorporated by reference and shall be considered part and parcel of this Agreement. Details are subject to change at any time for any reason.
Your attendance at the Retreat, as defined below, is subject to each of the terms and conditions contained within this Agreement, all parts and sub-parts of which are specifically incorporated by reference here. By clicking "Purchase," "Confirm," "Attend," or undertaking any other affirmative action manifesting your intent to attend to Retreat, including providing the Organizer with credit card or billing information to be charged for attendance at the Retreat, you acknowledge and agree that you are entering into a legally binding agreement with the Organizer.
YOU AGREE TO BE BOUND AND ABIDE BY THIS AGREEMENT AND ANY AMENDMENTS THERETO. READ THIS AGREEMENT CAREFULLY BEFORE MANIFESTING YOUR ASSENT, ESPECIALLY SINCE THIS AGREEMENT MAY AFFECT YOUR LEGAL RIGHTS, SUCH AS REQUIRING BINDING INDIVIDUAL ARBITRATION, AND LIMITING YOUR RIGHT TO BRING A LAWSUIT OR CLASS ACTION. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT MANIFEST YOUR ASSENT TO ATTEND ANY OF ORGANIZER'S RETREATS.
Organizer and Guests may be referred to individually as "Party" and collectively as the "Parties."
Article 2 - CONFIRMATION:
In order to purchase the Retreat package, the following steps must be taken:
Guests will complete the entirety of the Retreat package purchase on the Website, as listed above.
Upon completion of payment, you will be redirected to a registration page which will outline the details of your completed registration. If you are not redirected to the registration page after payment, please contact Organizer.
Organizer may request the provision of additional information, such as identification and travel information and/or additional forms and questionnaires. You hereby consent to receive all such correspondence related to the Retreat, including the itinerary.
Please be advised the itinerary is subject to change and may be modified by Organizer at any time. You hereby acknowledge and agree that Organizer has a right to do so for any reason, including, but not limited to weather, third-party vendors or providers, and any local circumstances which Organizer deems unfit for travel.
Article 3 - PAYMENT:
All prices are in United States dollars (USD).
Electronic Payment is required using Paypal. You can also pay using Zelle, Venmo, or ApplePay if the preference is communicated, and proper arrangements are organized. Please email valeriekates222@gmail.com
If you opt for a payment plan, your reservation fee is non-refundable and if your payment plan is not paid in full by June 1st, 2025, then your participation will be rescheduled to the next Retreat. All payment plans must be paid IN FULL before the Retreat.
The cost of the retreat does NOT include any airfares, travel arrangements or insurance.
It does include accommodations as outlined in this agreement and courses & events page.
At the time of booking the Retreat, you must provide payment in full or a non-refundable reservation fee of the following amount: $555 (five hundred fifty-five US dollars) ("Reservation Fee").
The Retreat must be booked and the Reservation Fee paid to reserve your spot. The Deposit and all fees are non-refundable. If you cancel your spot in the Retreat, you will not be entitled to any refund of the Reservation Fee or any additional fees paid.
The entirety of the Total Fees must be paid the following amount of time prior to the departure date of the Retreat: 60 days (7/5/25).
If the Total Fees are not received by Organizer by the date listed above, your spot may be cancelled without prior notice to you. You are solely and exclusively responsible for maintaining up-to-date and valid travel documentation, such as passports, as well as any required and applicable travel visas, immunizations, or other required documentation for the locations being visited. Organizer is not liable or responsible for any Guest being denied entry or exit to or from any location or country.
Article 4 – REFUND/TRANSFERS:
There is no Refund if a guest changes their mind about participating in the Retreat.
If you are unable to attend, you may choose to reschedule to the next Retreat or transfer your place in the Retreat to someone else up until 30 days before the Retreat date (8/5/25).
If you are transferring your place in the Retreat, it is your responsibility to notify the Organizer and provide transferee’s contact details so that Organizer can ensure registration and confirm approval of transfer. Guest cannot transfer an unpaid balance. If there is a balance, balance must be paid before transfer is approved.
If you are prevented from attending the Retreat due to extenuating circumstances beyond your control, please notify the Organizer immediately. Solutions may include transferring your participation to another person (must be paid in full prior to transfer), transferring your fees to a later Retreat, or applying as credit towards services and digital products.
Article 5 - CANCELATIONS:
As noted above, Organizer reserves the right to cancel if Total Fees are not received by the following amount of time prior to the departure date of the Retreat: 60 days (7/5/25). If such a cancelation is undertaken, you are not entitled to receive your Reservation Fee back or any other fees paid to that date.
Organizer may also cancel the Retreat for any reason, unrelated to an individual Guest, in the Organizer's sole and exclusive discretion.
Organizer reserves the right to cancel or reschedule the Retreat prior to the start date due to unforeseeable restrictions including but not limited to economic, weather, health, financial, conflict or similar unpredictable or dangerous conditions that amount to a force majeure or for any commercial reason at my sole discretion.
If Organizer must cancel the Retreat under this clause, Guest will be transferred to the next Retreat, which will be held within 13 months. However, Organizer shall not be responsible for any additional fees paid by Guest to any third parties, including but not limited to travel companies, airfare, hotels, and restaurants.
In the event of a natural disaster, pandemic, or other high risk situation, safety becomes our first priority. Any failure to deliver due to circumstances beyond our control will not provide grounds for a refund. We will work with you to make up what we have missed at a time when it is mutually safe and convenient for us to do so. You agree that this is entirely reasonable.
If Guests wish to cancel, written notice of such cancellation must be sent to Organizer via email. As noted above, in the event of Guest cancellation, no fees will be returned.
Article 6 - TRAVEL INSURANCE:
All guests are required to purchase and maintain travel insurance during the entire length of the Retreat (including through the return date). Guests are individually responsible for paying for travel insurance and ensuring adequate coverage. Coverage should include, but not be limited to illness, injury, property damage, loss of personal items, death, cancellation and any other potential losses, damages, expenses, and/or liabilities.
Organizer is not responsible or liable for any loss, damage, expense, cost, or any other travel issue. Participant is solely responsible for any Losses related to failure to procure travel insurance.
Article 7 - MEDIA RELEASE:
You acknowledge and agree that before and during the Retreat, you may be subject to photographs, video, sound recordings, or other media captures of your face, name, voice, or likeness. In consideration for your participation in the Retreat, you hereby and irrevocably consent to the use, publication, distribution, broadcasting, reproduction, live-streaming, editing, recording, posting, copyrighting, licensing, digitization, and/or rerelease of the Released Media, as defined below, by the
Organizer, as well as any employees, affiliates, associates, representatives, or agents (collectively referred to as the "Release Receiver") for any legal reason or purpose, including but not limited to social media, commercial products, education, course materials, video footage, sales, marketing, or any other medium in any form that has been or will be invented.
The Released Media will include, but is not limited to, all photographs, videos, sound recordings, paintings, sculptures, and all other media currently known or hereinafter developed, captured of you or your likeness before and during the Retreat by the Release Receiver.
You hereby release the Release Receiver from any and all claims and demands arising out of or in connection with any use of the Released Media, including, without limitation, claims for privacy violations, right of publicity claims, defamation and/or any other intellectual property rights. You claim no ownership of the Released Media and forego any opportunity, whether past or present, to copyright or trademark the Released Media.
You give consent to the use of this Released Media while knowing and understanding that your name, comments, and other identifying factors may be revealed to the public. However, the Release Receiver may not make known to any party in any medium my known or previously known location, email or physical address, or any other contact details, such as phone number.
You understand that I do not have any obligation to use all or any part of your participation in the Retreat, and I may edit any audio or visual recording of your participation at my discretion. You give me the right to reproduce, advertise, and publicize your participation in the Retreat without compensation to you. You agree that I shall own all rights, title and interest, including copyright, in the originals and all copies of any audio, visual, or written recordings I make, in perpetuity, with full media and worldwide rights.
You further understand and grant me permission to electronically display any such likeness or recording of you on the Internet or in other public settings.
You agree to waive the right to inspect or approve any and all materials in which your likeness may appear. You further waive any right to royalties or other compensation arising from or related to the use of your likeness.
There is no time limit on the validity of this release nor is there any geographic limitation on where materials including your likeness may be used, reproduced, displayed, exhibited, published, and/or distributed by me or on my behalf.
Organizer will ensure that all such recordings will be unobtrusively obtained, carefully chosen, and sensitively edited to showcase the Retreat experience while maintaining the safety and connection of our experience together. If you should find any use of your likeness distressing, please contact Organizer to discuss your concerns.
Article 8 - ACCOMODATION:
Accommodation is included in the cost of the Retreat package.
Details are set out in the information provided to you during the onboarding process.
If anything about the accommodation does not meet your expectations, please bring your concerns directly to me rather than complaining to staff at the venue.
Guests agree that they will not bring any outside guests to the property or allow anyone who is not a registered Guest access to the property.
Absolutely no outside guests, parties or gatherings will be tolerated.
Please do not park in front of any neighbors houses.
Quiet Hours are 10pm to 8am (the city doesn't allow any outdoor activities during quiet hours, and fines $1000 for violations). If you want to hang out late at night, the good news is the Strip is only 10 minutes away.
No Pets (due to many guests with pet allergies we can't allow any pets, we are sorry, we wish we could.)
No Smoking Indoors ever!
Article 9 – CARE FOR RETREAT PROPERTY:
Please be respectful of the venue and its surrounding environment. All Participants must keep the Retreat venue’s fixtures, fittings, furniture, and effects in a clean and good condition and shall replace any articles which are destroyed or missing with articles of a similar kind and of equal value.
Please turn things off and conserve as much energy as possible.
Please clean up any excessive spills that could damage cabinets or furniture. No need to wash linens or towels
Please place your garbage in garbage bags. Leave in or next to the garbage cans if they are already full.
Please report anything at the property to the Organizer that you notice that may need attention.
Article 10 – ALCOHOL AND SMOKING POLICY:
Guests will be respectful of the venue and its surrounding environment and other Guests. Yes, you can smoke outside only. Weed is legal in Nevada, and you can smoke outside, but remember you're in a property within a neighborhood which may have kids, just be reasonable with how much you smoke as it does travel far, and we don't want complaints. Alcohol consumption is allowed on property however Guests expressly agree to consume responsibly. There is a NO TOLERANCE POLICY for any illegal prescription drugs, narcotics, and/or substances.
Article 11 – ARRANGEMENTS FOR FOOD AND MEALS:
Three meals a day and/or 1 meal per half day are included in the cost of the Retreat package.
Please note that you are solely responsible for supplying your own snacks, beverages and alcoholic beverages outside of what is provided in the stocked kitchen.
On the registration form you will be asked to specify your allergies and/or dietary requirements. Organizer will do their best to ensure your dietary needs are met. but if you have strict eating requirements you may need to cater for yourself. Organizer will advise you of this in advance.
Article 12 – INTERNET ACCESS:
Wi-fi is access is usually provided by the property and venues we visit. If it will not be available, you will be warned well in advance.
Any costs or charges associated with your use of mobile data are entirely your own responsibility.
Article 13 – INTEGRATION AND DOWN TIME:
There will be regular periods of free time in the evenings when you can do your own thing. We often choose to spend this time together socialising, but you are free to do whatever you wish after 5pm.
If you choose to go exploring at any time, please take care for your own safety. Let me know where you are going before you leave, be always mindful of your own safety, and remember that different standards of respect for pedestrian safety may apply in foreign locations.
It is strongly recommended that if you are not attending the optional activities, you use this as integration time and prioritise rest, self-care, and connection. (I hope it goes without saying that going out and getting blotto will not be appreciated.)
Article 14 – GUEST RESPONSIBILITIES:
Guests acknowledge that they are responsible for their own well-being and safety. Allow a certain amount of flexibility; expect the occasional unexpected. Double check that you have packed any medication you need before you leave. Have a personal emergency plan, backups, including money, contacts, and a strategy for unanticipated happenings.
Set an intention to fully show up for yourself, and make sure you bring the recommended resources. Be honest about what you need and put thought into setting realistic goals.
Guests are encouraged to be a positive factor in the group, participating cheerfully with our activities. Play nice and respect the confidentiality, privacy, emotions, and safety of other Guests. Immediately report any unwanted attention from other Guests or anyone.
Article 15 – CARE FOR YOURSELF:
Accountability and personal responsibility are essential to your wellbeing. Be mindful of your physical well-being and proactively manage your energy. If you have any concerns or problems, communicate with the Organizer.
Please do not take anything personally. Everyone on the Retreat is on their own journey. Know that you are in a safe place and reach out for our support when you need it.
Give yourself the time you need to integrate, shift, change and embody rather than rush anything or compare your experiences to others. Please do not compare yourself to anyone else. Be patient with your unique evolution.
Article 16 – CARE FOR YOUR BELONGINGS:
Organizer is not liable for any theft, loss or damage to any of your personal belongings during the Retreat. This includes any items left behind in your room or left in shuttle vehicles or left unattended in the common areas of the Retreat venue or activity locations. Please take appropriate care to ensure your belongings are safe.
Article 17 – CARE FOR OTHER PEOPLE:
Guests expressly agree to be respectful of the venue and its surrounding environment as well as other Guests and Guests belongings. All Guests must keep the Retreat venue’s fixtures, fittings, furniture and effects in a clean and good condition and shall replace any articles which are destroyed or missing with articles of a similar kind and of equal value.
Guests that work as a healer, coach, or facilitator, are asked not to give unsolicited advice. Guests expressly agree not to market any type of services or products to other Guests. Always respectfully ask for permission to share your perspective regarding someone else’s situation and speak to the Organizer privately if you are concerned about the wellbeing of any Guests.
Boundaries are everything on a communal Retreat. Honour other people’s space and processes. Be aware of your space and other people’s space. Respect everyone’s right to take time alone to integrate and not socialize. This is not a social retreat. Please be mindful of others’ time out.
Rudeness and discourtesy will not be tolerated at the Retreat. Organizer reserves the right to ask anyone displaying any violence, aggression, or abuse of any sort to leave the Retreat. The Organizers decision in this regard is final and proper legal interventions will be utilized if necessary. Organizer will not refund payment or accept any consequential liability of any kind if a Guest must be removed from participating in the retreat to ensure safety for all involved.
Article 18 - CONFIDENTIALITY:
Guests will respect everyone else’s intellectual property and confidentiality. Anything shared must be assumed to be private, sensitive information which must be kept confidential and not disclosed to anyone else without explicit permission. Throughout the Retreat Guests will share information about their personal lives that is not in the public domain, including discussing experiences, ideas and trade secrets, current life obstacles, and any other topic no matter seemingly small. It requires a huge amount of trust to open up to connection through intimate personal vulnerability, and that is part of the magic of being on Retreat.
You are welcome to take and share your own photos while on the Retreat, while always being respectful of the wishes of other people who may be in the photos. Make sure you tag the Organizer if you are sharing photos on social media. You understand that under no circumstances may you share photos or videos of any other Guest without their express permission. The Retreat activities and 1:1 sessions may only be recorded with the permission of everyone who is present. Guest can record themselves as long as they do not violate the boundaries of other Guests.
Article 19 - VOLUNTARY PHYSICAL PARTICIPATION:
You hereby acknowledge and agree that you will voluntarily be participating in certain physical activities ("Physical Activities") on the Retreat. The Physical Activities may include, but are not limited to: walking, swimming, hiking, biking, yoga, fitness activities, climbing, ziplining, driving, or other types of strenuous physical activities.
You understand and are aware that your participation in the Physical Activities involves risks. These risks may lead to tangible or intangible harm, and you agree that they may result not only from your own actions but also from the actions of others. With the knowledge and understanding of these risks, you choose, of your own will and volition, to continue participating in the Physical Activities.
You also acknowledge and agree that there are risks that you may not have considered, yet you waive your right to any claims that may occur from these unconsidered risks and choose, of your own will and volition, to participate in the Physical Activities.
Activities and/or services provided by third-party operators are offered to enhance your Retreat experience. All activities are entirely optional, and your participation requires a voluntary assumption of risk (that means you have carefully considered your capacity to participate and have made an informed decision about whether the activity is right for you).
You acknowledge and agree that by attending the Retreat you consent to waive certain legal rights, including the right to sue the Organizer, and, if applicable, its owners, employees, agents, trainers, representatives, and facilities from any physical, material, tangible or intangible, loss or damages that may happen to you during your participation in any of the Physical Activities undertaken while under their instruction or thereafter.
You agree that your participation in the Retreat including any optional Adventures is entirely a result of your own free will. You are aware and accept that some individuals – including you – may experience strong physical and emotional reactions. You understand that participants typically are not screened nor barred from attendance, because you are expected to take ownership of your journey, assess your own capacity for participation, monitor your own well-being and modify activities for your needs as required.
Article 20 - HEALTH ELIGIBILITY:
Your participation in the Retreat indicates your acknowledgment and agreement with, as well as your warranty of, the following statements:
(a) It is my responsibility to consult a physician before participating in this or any Retreat to ensure my eligibility for strenuous Physical Activity and I affirm that I have no medical conditions that would restrict me from participating in any of the Physical Activities.
(b) I agree to hold the Organizer, and if applicable, its employees, owners, agents, trainers, and representatives, harmless from any damage, whether tangible or intangible, that may happen to me while participating in the Retreat. Such injuries may include, but are not limited to, muscle strains, muscle sprains, muscle spasms, heart attacks, raised blood pressure, and broken, fractured, or dislocated bones.
(c) I agree that if I do experience medical issues, I will contact my doctor immediately.
(d) I agree and verify that all the information that I have given the Organizer and its representatives is accurate, up-to-date, and without the omission of any known medical issues.
(e) I agree and verify that If I have omitted any necessary personal information, whether knowingly or unknowingly, I will hold the Organizer harmless against all liability for any damages that may occur to myself or to others because of my actions or inactions.
(f) I agree to keep the Organizer apprised of any changes or upcoming changes concerning my physical health and personal information.
(g) I understand and agree that it is my responsibility to let the Organizer know if I find myself in any pain or discomfort before, after, or during the Retreat.
(h) If I do require medical treatment or attention while or after participating in the Retreat, I agree that the medical costs are mine and mine alone and hold the
Organizer blameless from any charges, fees, or costs that my conditions may incur.
(i) I specifically acknowledge and agree that these clauses are not intended to be a general release, which would be limited under some state and local laws.
(j) In the event of a medical emergency, if an Organizer calls for professional medical assistance on my behalf, I agree to go with the paramedics in the ambulance to any hospital they recommend.
Article 21 - GENERAL ASSUMPTION OF RISK:
You agree and understand that your participation in the Retreat may involve risks. These risks may lead to tangible or intangible harm, as discussed above. Additional risks, such as those risks involved in being in another country, a country where medical services are not available, or a country with an unsteady political, cultural, or geographical climate, may also be present.
It is your responsibility to familiarize yourself with all possible risks involved in participation in the Retreat. You agree that Organizer is not liable, to the fullest extent permissible by law, for any harm that may come to you due to your participation in the Retreat.
YOU ACKNOWLEDGE THAT YOUR DECISION TO ATTEND THE RETREAT IS MADE WITH FULL KNOWLEDGE OF ALL INFORMATION DESCRIBED ABOVE AND THAT YOU ARE ATTENDING OF YOUR OWN WILL AND VOLITION. YOU AGREE TO BE THE SOLE PARTY RESPONSIBLE FOR ASSUMPTION OF ALL RISK INVOLVED IN CONNECTION WITH THE RETREAT. IN NO EVENT WILL ORGANIZER BE LIABLE FOR ANY LIABILITIES ARISING FROM OR IN CONNECTION WITH YOUR PARTICIPATION IN THE RETREAT.
Article 22 - REGISTRATION TO USE WEBSITE:
Guest may be asked to register to use Organizer's Website. Guest will choose a unique identifier and password. Guest is responsible for ensuring the continued accuracy, security, and confidentiality of this information. Guest may also be asked to provide billing information, which will be subject to the same requirements of accuracy, security, and confidentiality. Providing false or inaccurate information or using the Website to further fraud or unlawful activity is grounds for immediate termination of this Agreement.
Article 23 - USE:
Guest agrees not to use the Website or Retreat for any unlawful purpose, or any purpose prohibited under this clause. Guest agrees not to undertake any action which may damage the Organizer in any way.
Guest further agrees not to use the Website or Retreat:
(a) To harass, abuse, or threaten others or otherwise violate any person's legal rights;
(b) To violate any intellectual property rights of the Organizer or any third party;
(c) To upload or otherwise disseminate any computer viruses or other software that may damage the property of another;
(d) To perpetrate any fraud;
(e) To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;
(f) To publish or distribute any obscene or defamatory material;
(g) To publish or distribute any material that incites violence, hate, or discrimination towards any group;
(h) To unlawfully gather information about others.
Article 24 - RELEASE OF LIABILITY:
Guest hereby releases Organizer, as well as any of Organizer's affiliates, licensors, suppliers, subsidiaries, parents or other legal representatives, from any claims, demands, damages or other legal action which may arise from Guest's dispute with any other Guest.
Article 25 - TERMINATION:
This Retreat Agreement shall continue until canceled as specified above by either Party or until the Guest attends and completes the Retreat. Any provision of this Agreement which by its terms imposes continuing obligations on either of the parties shall survive termination of this Agreement.
Article 26 - INTELLECTUAL PROPERTY:
Guest acknowledges and agrees that the Organizer's name, services, and any logos, designs, text, graphics, software, content, files, materials, and any other intellectual property rights contained therein, including without limitation, any copyrights, patents, trademarks, proprietary or other rights arising thereof, are owned by the Organizer or its affiliates, licensors, or suppliers.
Guest acknowledges and agrees that the source and object code of the Website and the format, directories, queries, algorithms, structure, and organization of the same are the intellectual property, proprietary, and confidential information of Organizer and its affiliates, licensors, and suppliers.
Guest expressly agrees not to do anything inconsistent with Organizer's ownership of all of the intellectual property discussed herein. Guest further agrees that there are no rights, title, or interest in or to any of the Organizer's Intellectual property. In addition, Guest is not conveyed any right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or other proprietary rights of Organizer or any third party.
You acknowledge that all material that the Organizer shares with you consists of copyright, unregistered trademarks and trade secrets owned by me. Under no circumstances are you allowed to market, promote or use any of the Retreat material in any way without the Organizers express written permission. It is provided to you for your personal use in connection with the Retreat ONLY.
Guest agrees, all intellectual property shared during the Retreat remains Organizers property. Other Retreat Participants retain ownership of their own intellectual property. This means that Guests must not share, copy, re-publish, edit or sell any content that is not their own creation for business or commercial use, or in any way without the explicit prior consent of the content creator, which they are entitled to refuse.
Article 27 - RESTRICTIONS:
Guest is prohibited from selling or reselling Guest's space in the Retreat, unless Guest has specifically executed a written agreement with Organizer that expressly allows for such activity.
Article 28 - INDEMNIFICATION:
Guest agrees to defend and indemnify Organizer and any of its affiliates (if applicable) and hold them harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to Guest's use or misuse of the Website, Guest's attendance at the Retreat, Guest's breach of this Agreement, or Guest's conduct or actions. Guest agrees that Organizer shall be able to select its own legal counsel and may participate in its own defense, if so desired.
Organizer suggestions and guidance only ever provide you with options for your consideration. You understand that you are solely responsible for the choices that you make, so it is important that you stand in your power, conduct your own research, seek professional advice if you have concerns and make informed decisions about what is right for you in your individual circumstances at this time in your journey.
You understand and agree that your participation in every part of this Retreat is undertaken of your own free will and desire to participate and you agree to accept full responsibility should anything happen to you, physically, mentally, or emotionally under such circumstances. You waive any claims to compensation to the full extent that might be permitted by law.
Article 29 – LIMITATION OF LIABILITY:
You expressly agree that my total cumulative liability for all causes of action of any kind shall not exceed the amount that you paid to the Organizer for your attendance at the Retreat.
Article 30 – JURISDICTION:
My business is based in the state of Nevada. The validity, interpretation and performance of this Retreat Agreement will be governed by the laws of Nevada and the United States.
Article 31 - DISPUTE RESOLUTION:
In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the county and state noted in the GOVERNING LAW provision of this Agreement.
The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing federal law as well as the law of Nevada. Each Party shall pay their own costs and fees.
Claims necessitating arbitration under this section include, but are not limited to: contract claims, tort claims, claims based on federal and state law, and claims based on local laws, ordinances, statutes or regulations. Intellectual property claims by the Organizer will not be subject to arbitration and may, as an exception to this sub-part, be litigated. The Parties, in agreement with this sub-part of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims.
Article 32 - GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the internal laws of Nevada without giving effect to any choice or conflict of law provision or rule. Each party irrevocably submits to the exclusive jurisdiction and venue of the federal and state courts located in the following county: Clark County.
Article 33 – GENERAL PROVISIONS:
This Agreement may be amended by negotiation between us. It is sufficient for a variation to be contained in an email exchange where we each express clear consent to the proposed changes.
It constitutes the entire Agreement between us with respect to its subject matter.
Article 34 - HEADINGS:
Headings to this Agreement are for convenience only. Headings shall in no way affect the provisions themselves and shall not be construed in any way that would limit or otherwise affect the terms of this Agreement.
